Terms and conditions

1. Provider and scope

The provider is [provider name and postal address] (the “Provider”). These terms apply to all contracts for the use of SubToAPI (the “Dashboard”). Deviating terms of the customer apply only with the Provider’s express written consent.

2. Subject matter

The Provider makes a web-based control panel (software as a service) available to the customer: connection management, guided setup, a test console, cost and usage reporting, documentation and — depending on the plan chosen — team, role and seat management.

The contract expressly does not cover the provision of AI capacity or of access to Claude. For that, the customer needs a Claude connection authorised for this installation, or their own subscription with Anthropic. Use of those third-party services is governed exclusively by their terms; the Provider does not resell provider capacity.

Provider credentials, refresh tokens, internal provider headers and request transformations remain server-side. API keys are stored hashed only (see the privacy policy).

3. Conclusion of contract, trial

The contract is concluded upon completion of registration. New teams receive a free trial of 3 days with up to 3 seats. After the trial ends, continued use of the Dashboard requires a paid plan; an instance operated by the customer themselves is unaffected.

4. Plans, seats and prices

The scope of services, seat limits and prices of the plans follow from the pricing page in the version valid at the time of booking. One seat is occupied per member account; an open invitation occupies a seat until it is accepted or revoked.

All prices shown are final prices and include statutory VAT where it applies. Price changes are announced to the customer in text form at least six weeks before they take effect; in that case the customer may terminate the contract before the change takes effect.

5. Billing

Billing takes place in advance for the respective billing period through the payment service provider Stripe. If the seat count changes during a running period, Stripe bills the difference on a pro-rata basis. Invoices, payment methods and cancellation are available to the customer in Stripe’s customer portal.

In the event of late payment, the Provider may suspend access to the Dashboard after prior notice until the balance is settled. Statutory claims remain unaffected.

6. Term and termination

The contract runs for an indefinite period and may be terminated by the customer at any time with effect from the end of the current billing period, or at the end of the term where billed annually. Termination is possible in the customer portal or by email to info@subtoapi.app. The Provider may terminate with three months’ notice to the end of a month. The right to terminate for cause remains unaffected on both sides.

7. Availability

The Provider endeavours to keep the Dashboard highly available but does not owe any particular availability and gives no service level commitment. Maintenance windows are announced where possible. The Provider may continue to develop the scope of services as long as the essential purpose of the contract is preserved.

8. Customer obligations

  • The customer uses the Dashboard only within these terms and applicable law.
  • The customer is responsible for their own access credentials, in particular the secret passphrase of their own instance, and keeps it confidential. Account credentials must not be passed on to third parties.
  • The customer ensures that their use of the third-party services (Anthropic, Cloudflare, Stripe) complies with those services’ respective terms. Any resale or transfer of AI access to third parties is the customer’s own responsibility and is not the subject of this contract.
  • Content the customer generates or processes remains their responsibility; the Provider has no access to it.

9. Rights of use

For the term of the contract, the customer receives a simple, non-transferable right to use the Dashboard within the agreed scope. Results the customer generates by their own means belong to the customer. Resale of the Dashboard as such is not permitted.

10. Liability

The Provider is liable without limitation for intent and gross negligence, and for injury to life, body or health. In the case of slightly negligent breach of material contractual obligations, liability is limited to the foreseeable damage typical of the contract; otherwise it is excluded. Liability under the German Product Liability Act remains unaffected.

The Provider gives no warranty for the availability, content or terms of the third-party services (Anthropic, Cloudflare, Stripe) or for changes to them. Likewise, no warranty is given for results an AI generates on the customer’s behalf.

11. Data protection

The privacy policy applies.

12. Right of withdrawal

Consumers have a statutory right of withdrawal; details and the model withdrawal form can be found in the right of withdrawal notice.

13. Final provisions

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods; in relation to consumers this applies only to the extent that mandatory provisions of their country of residence do not conflict. The place of jurisdiction in relation to merchants is [the Provider's registered seat]. Should individual provisions be invalid, the remainder of the contract stays in force.
